4. DELIVERY TERMS

7. FORCE MAJEURE

7.1 Neither party shall be liable for delays or non-performance due to events beyond their ability to reasonably foresee or control, including but not limited to natural disasters, war, labor strikes, shipping delays or port closures.

7.2 The affected party shall notify the other party within [e.g., 48 hours] and undertake all available and commercially reasonable actions to mitigate the present and future delays.

8. GOVERNING LAW AND DISPUTE RESOLUTION

9.4. Execution. This Contract may be executed in ink or by electronic signature and in counterparts, all of which when taken together shall constitute one and the same Contract.

9.4 Entire Agreement: This Contract constitutes the entire agreement between the parties. All prior discussions, communications of every type and form and all prior agreements with respect to the subject matter of this Contract are superseded by, rendered void and otherwise merged into this Contract.

9.5 Notices: All notices must be in writing and sent via [e.g., email, registered mail] to the contact details of the addressee as set out in Clause 1. All registered or certified mail, or mail sent by overnight courier must be sent postage prepaid by the sender.
